Terms of Service

Last updated: September 2026

1. Parties, scope and acceptance

These terms govern the use of IVAERO, a service provided by IVAERO Digital, S.L., Tax ID (NIF) B05630363, with registered office at calle Sostres, 1 bis, 2.º 1.ª, 08024 Barcelona (Spain) (“IVAERO”), contact hola@ivaero.com. The service is intended for businesses and professionals who use it in the course of their activity (the “customer”). Anyone opening an account on behalf of an entity declares that they may represent it or subscribe to the service for it.

The contract is concluded in Spanish through the website. Before confirming, the customer can review and correct their details and choose a plan. IVAERO will confirm the sign-up, and the confirmation can be kept. The version of these terms accepted by each customer is archived and can be requested from IVAERO. The contract starts when the sign-up is confirmed and this version is expressly accepted.

The Data Processing Agreement published on this website forms part of these terms and is accepted with them.

2. What IVAERO offers

IVAERO is an invoicing platform for businesses, with the features shown as active for the chosen plan: manual entry or import of data, connection with supported online sales channels, preparation and issuing of invoices, access to documents, and the invoicing-system functions described in section 3. The current features, limits, countries, integrations and requirements are described on the Pricing page and in the application itself.

The customer can create invoices directly or, if the service is offered, ask IVAERO's authorised staff to carry out specific tasks in their account. Such actions follow the customer's documented instructions, with access profiles and traceability.

3. VERI*FACTU: who is responsible for what

IVAERO is a computerised invoicing system (sistema informático de facturación) within the meaning of Spanish Law 58/2003, the General Tax Law, and the Regulation approved by Royal Decree 1007/2023. IVAERO Digital, S.L. is the producer of the system: it is responsible for the software meeting the requirements of that Regulation and of Order HAC/1177/2024 (integrity, preservation, accessibility, legibility, traceability and unalterability of the invoicing records, their chaining and their submission to the AEAT under the VERI*FACTU mode), and it signs the statement of compliance (declaración responsable) the regulations require, which will be published on this website.

The customer is the taxpayer (obligado tributario). The customer is responsible for issuing its invoices and for the accuracy of their content, the tax treatment of each transaction, the safekeeping of the electronic certificate it provides, and its record-keeping and filing obligations. IVAERO does not decide the tax nature of a transaction on the customer's behalf, nor does it alter invoices already issued other than through the legally permitted procedures.

When the customer enables submission to the AEAT, IVAERO generates and sends the invoicing records on the customer's behalf, using the electronic certificate the customer provides and under the customer's authorisation, in line with the technical specifications in force. If a record cannot be submitted, for example because the AEAT is unavailable, IVAERO keeps it and retries the submission as those specifications provide. The customer must check the result of each submission in the application and deal with any issues reported; IVAERO will report the interruptions or rejections it detects.

Subscribing to the software does not replace the customer's own accounting or tax review. IVAERO is responsible for failures attributable to the operation of the software; the customer is responsible for the data it enters or authorises and for the tax decisions it makes.

4. Account and data provided

The customer must provide true information, keep it up to date and designate its authorised users. The customer is responsible for its credentials and for the permissions it grants, and must notify soporte@ivaero.com if it suspects unauthorised access. IVAERO may take proportionate measures to protect the account and the service.

The customer keeps its rights over the data it enters and authorises IVAERO to process that data only to the extent needed to provide the service, under the Data Processing Agreement. The customer must have a legal basis for the personal data of buyers, invoice recipients and authorised users that it provides, and give them the information it owes them as controller.

5. Connections with online sales channels

Connecting an online sales channel is optional and subject to the integrations available for the subscribed plan. It requires authorisation from someone entitled to manage the account on that channel. The customer decides which permissions it grants and can revoke access through the means the platform offers and from IVAERO.

The availability, completeness and frequency of imported data may depend on each platform and its configuration; the customer must review the synchronisation and handle omitted, duplicated or corrected transactions under the applicable invoicing rules. IVAERO will report the import errors it detects and deal with the issues attributable to it. Compatibility with a platform does not imply sponsorship of, or association with, that platform.

6. Free trial

Each business or professional may use a free one-month trial, counted from the activation shown in its account. The exact expiry date is shown before the trial ends. During the trial, these terms and the functional limits stated at sign-up apply. A real invoice issued during the trial has the effects of a real invoice: the software being free does not make it a simulation.

No automatic charge is made when the trial month ends. To continue with the paid features, the customer must choose and confirm a plan and provide a payment method. If it does not, issuing new invoices is disabled, and the customer can retrieve or export its data under the conditions of section 10. IVAERO will not charge for the mere passing of the trial period.

7. Plans, taxes and payment

The plans published for customers to whom Spanish VAT (IVA) applies are Starter, at €19 a month or €190 a year; Standard, at €29 a month or €290 a year; and Pro, at €49 a month or €490 a year, VAT included in every case, with the features and limits shown on the Pricing page. The plan for advisory firms is quoted for each customer, and its price is communicated before subscribing. The final price and the applicable tax are itemised before payment is confirmed; if a transaction is subject to a different tax rule, the final amount is shown before subscribing. No charge is made that has not been disclosed and accepted.

The plan fee is charged in advance each month or each year, according to the chosen cycle, from the activation of the paid plan, and renews for periods of the same length until the customer cancels it. IVAERO issues the invoice for its subscription and makes it available to the customer. A change of plan, limits or cycle is shown with its price and effective date before it is accepted. IVAERO will give 30 days' notice of any price increase applying to a future renewal, so the customer can cancel before the first charge at the new price.

If a payment fails, IVAERO will notify the customer and allow a reasonable period to settle it before restricting the issuing of new documents, without affecting access to and retrieval of the data as provided here.

8. Tax obligations and permitted use

The customer must check the identity of issuers and recipients, numbering, dates, taxes, rates, transactions, territorial rules and the other invoice data, and comply with its record-keeping and filing obligations. It must review the automatic configuration and the documents before or after issuing them, according to the stage the regulations allow. When an invoice needs correcting, the applicable legal procedure is followed, preserving the required traceability.

The service may not be used to issue false documents, access other people's data, interfere with its security or infringe third-party rights. IVAERO may proportionately suspend a feature where there is a proven security threat, unlawful use or a serious breach, informing the customer where possible and enabling the recovery of its data in accordance with the law.

9. Operation and support

IVAERO will take reasonable measures for availability, security, maintenance and error correction. There may be scheduled interruptions or incidents caused by IVAERO or third parties. The customer can report errors to soporte@ivaero.com; IVAERO will investigate them and keep the customer informed when they have a significant impact on its invoicing. An incident attributable to IVAERO will be resolved in accordance with the law and any express commitments agreed, without excluding liabilities that cannot legally be limited.

10. Cancellation, export and retention

The customer may cancel the plan from its account or by writing to soporte@ivaero.com. Cancellation stops the next renewal; the paid service continues until the end of the period already paid. The unused part of the period, whether monthly or annual, is not refunded automatically, unless the law requires it or it is due because of a breach by IVAERO. IVAERO may terminate the contract for a serious breach by the customer or because the service is discontinued; in the latter case, with at least 30 days' notice.

Before cancelling and for 30 calendar days after the contract ends, the customer can obtain a copy of its invoices and data in the formats actually offered, or request an export. After that, IVAERO returns or deletes the data processed on the customer's behalf according to the customer's instructions and the Data Processing Agreement, unless the law requires it to be kept; backups follow a documented cycle. IVAERO may keep, blocked, the data of its own invoicing and the data needed to meet legal obligations or deal with claims.

Invoicing records already submitted to the AEAT remain with the tax authority regardless of cancellation. The customer must keep its invoices and records for the periods that apply to it and must not rely on a cancelled account as its only archive.

11. Privacy and intellectual property

IVAERO owns, or is licensed to use, its software, website, trademarks and documentation. It grants the customer a non-exclusive right to use the service for as long as the subscription lasts. The customer's data, documents and content do not become IVAERO's property.

The Privacy Policy explains the processing IVAERO carries out as controller, and the Data Processing Agreement governs the processing it carries out on the customer's behalf; the latter forms part of these terms.

12. Changes, governing law and disputes

New features and technical changes may be announced in the application. IVAERO will notify relevant contractual changes by email before they take effect; where they substantially alter the price or the services subscribed, the customer may cancel before they take effect.

These terms are governed by Spanish law. The parties will try to resolve any dispute in writing through hola@ivaero.com and, failing that, will go to the competent courts under the applicable rules.

13. Language

These terms are written in Spanish. The English version is a translation and, in case of any discrepancy, the Spanish version prevails.
